Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 10, 2019, Timothy Petersen provided SI-BONE, Inc. (the “Company”) with notice of his resignation from the Company’s Board of Directors, including the committees on which he served, effective immediately. Mr. Petersen’s decision to resign was not the result of any disagreement with the Company or management.
Item 5.07. Submission of Matters to a Vote of Security Holders.
On June 13, 2019, the Company held its 2019 Annual Meeting of Stockholders (the “Annual Meeting”). The following is a brief description of each matter voted upon at the Annual Meeting, as well as the final tally of the number of votes cast: (a) for or withheld with respect to the election of directors; and (b) for, against or abstain for the ratification of the appointment of PricewaterhouseCoopers LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2019. Broker non-votes are also reported. A more complete description of each matter is set forth in the Company’s definitive proxy statement filed with the Securities and Exchange Commission on April 30, 2019.
Proposal 1:
